Agreement to Terms
By accessing and using the Nivano Physicians website (nivanophysicians.com) and related services (collectively, the “Services”), you agree to be bound by these Terms of Use. If you do not agree to these Terms, please do not use our Services.
We reserve the right to modify these Terms at any time. Changes are effective immediately upon posting. Your continued use of the Services after any modification constitutes acceptance of the updated Terms.

- “Content” — all information, text, graphics, software, photographs, video, data, and other materials
- “User Content” — any Content you submit, post, or display through the Services

Eligibility

Healthcare-Specific Terms
No Patient-Provider Relationship
Use of our website and Services does not establish a patient-provider relationship unless you are formally enrolled as a patient and receiving direct medical care from our providers. Website content is for informational purposes only and does not constitute medical advice. Always consult a qualified healthcare provider for medical decisions.
Emergency Situations
Do not use our Services for medical emergencies. Call 911 or go to the nearest emergency room for any urgent medical need. Our Services are not monitored continuously and are not appropriate for emergency communications.
HIPAA Compliance
Our Services are designed to comply with HIPAA regulations. Protected Health Information (PHI) is safeguarded per HIPAA requirements, Business Associate Agreements are in place with third-party service providers, and patient portal communications are encrypted. By using our Services, you acknowledge our privacy practices as described in our Notice of Privacy Practices and HIPAA Privacy Policy.
Intellectual Property
All content on our Services — including text, graphics, logos, images, digital downloads, and software — is owned by Nivano Physicians, Inc. or our licensors and is protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable license to access and use our Services for their intended purpose and to view and print Content for personal, non-commercial use. You may not copy, modify, distribute, create derivative works from, reverse engineer, or use our trademarks without our written permission.

By using our Services, you consent to receive electronic communications from us including service-related notifications, appointment reminders, billing information, and policy updates. Patient portal messaging is encrypted and HIPAA-compliant. Email communications outside the secure portal may not be appropriate for confidential medical information. If you opt in to SMS text messaging, standard message and data rates may apply and you may opt out at any time by replying STOP.
Financial Responsibility
You are responsible for all charges associated with your use of our Services, for understanding your insurance coverage, for paying applicable copayments and deductibles, and for maintaining current insurance information. Review all bills promptly and contact our billing department for questions or disputes. Financial assistance may be available — ask our team for details.
Disclaimers
OUR SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We strive to maintain continuous service availability but are not liable for interruptions caused by scheduled maintenance, technical failures, or circumstances beyond our control.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NIVANO PHYSICIANS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OUR SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID, IF ANY, FOR ACCESSING OUR SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM.
Indemnification
You agree to indemnify and hold harmless Nivano Physicians, Inc., its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, or costs arising from your use of our Services, your violation of these Terms, your violation of any third-party rights, or your User Content.
Termination
You may stop using our Services and close your account at any time by contacting us. We may suspend or terminate your access immediately — without prior notice — if you violate these Terms, your account is inactive for an extended period, we cease providing Services in your area, or legal or regulatory requirements necessitate termination. Upon termination, your right to use Services ceases immediately. Health records are retained in accordance with applicable law.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any legal action relating to these Terms shall be brought exclusively in the state or federal courts located in Sacramento County, California.
Before initiating any legal action, you must contact us directly to attempt resolution, provide written notice of the dispute, and allow 30 days for good-faith resolution efforts. Any dispute resolution proceedings will be conducted only on an individual basis — not as a class, consolidated, or representative action.
Miscellaneous
These Terms, together with our Privacy Policy and any additional terms applicable to specific Services, constitute the entire agreement between you and Nivano Physicians. If any provision is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision shall not constitute a waiver. You may not assign these Terms without our written consent. We may assign these Terms without restriction.
